Biography

TAMARA FAYAD advises both issuers and underwriters on capital markets and corporate finance transactions, liability management transactions, and U.S. securities regulation.
Tamara advises a wide variety of issuer clients across industries, including manufacturing, retail, energy, and healthcare, as well as lenders and underwriters on financing transactions.

Prior to joining Sidley, Tamara was an associate at a leading U.S. law firm in London.

Recent examples of Tamara’s work include advising:

  • JSC Bank of Georgia on the GEL 450 million offering of 11.50% senior unsecured Notes due 17 November 2028.
  • One of the world’s largest independent oil and gas companies on the tender offer for its existing 5½% Senior Notes due 2026.
  • A mineral exploration, development, and production company listed on the Toronto Stock Exchange, in connection with its issuance of US$750 million Senior Secured Notes due 2030.
  • The initial purchasers in connection with the debut issuance of €325 million Senior Secured Notes due 2029 by a foundry chemicals and phenolic resins portfolio company of a global private equity firm.
  • The initial purchasers on several high-yield bond offerings for VodafoneZiggo.
  • A private equity firm in connection with fund-to-fund transfers of its existing holdings in PIK Notes.
  • The initial purchasers, in connection with the issuance of €420 million Senior Secured Notes and €500 million Floating Rate Senior Secured Notes by a Lithuanian telecommunications and media company of a U.S.-based investment private equity firm.
  • The third-largest grocery retailer in the United Kingdom, in connection with:
    • a £2.75 billion offering of bonds to repay the bridging acquisition financing raised by its current shareholders, representing the largest sterling corporate bond sale on record.
    • its tack-on issuance of £500 million Senior Secured Notes due 2026.
    • the refinancing of its existing senior secured notes issuance of £1,750 million Senior Secured Notes due 2030 and concurrent tender offer.
  • The world’s largest producer of natural soda ash, on its issuance of US$800 million Senior Secured Notes due 2028.
  • The world’s largest producer of natural soda ash on its contemplated initial public offering on the London Stock Exchange.
  • Limacorporate, a former EQT portfolio company specialized in med-tech and orthopaedic implants, on its issuance of €295 million Senior Secured Floating Rate Notes due 2028.
  • A syndicate of dealer managers in connection with the offer by NewDay to exchange its outstanding senior secured notes due 2024 for new senior secured notes due 2026 and cash consideration.
  • EQT AB in connection with its issuance of €1.5 billion of sustainability-linked bonds.
  • The initial purchasers in connection with the offering of €515 million Senior Notes due 2030 by a private equity firm-owned manufacturer and supplier of technical ceramics.
  • The initial purchasers in connection with the issuance of €340 million Senior Secured Notes due 2027, US$400 million Senior Secured Notes due 2027 and €250 million Senior Secured Floating Rate Notes due 2027 by a company principally focused on cargo handling.
  •  Represented Cerba Healthcare in connection with its subsequent tap issuance of €300 million Senior Secured Notes due 2028 and €200 million Senior Notes due 2029.
  • Represented Cerba Healthcare, a French healthcare lab business, and EQT in connection with an issuance of €420 million Senior Secured Notes due 2028 and €325 million Senior Notes due 2029 by newly formed entities controlled by EQT to partially finance its acquisition of Cerba Healthcare. Cerba Healthcare is also a PSP Investments portfolio company.
  • A Nigeria-based leading energy supplier in its issuance of US$650 million Senior Notes due 2026.
  • Represented Verisure, a Hellman & Friedman portfolio company offering home security products and services, in its issuance of Senior Secured Notes due 2027 and Euro Senior Notes and SEK Floating Rate Notes due 2029, totalling c. €2.47 billion.
