Sidley Represents AIP in Its US$1.272 Billion Acquisition of Avanos Medical

Sidley represented operationally-oriented industrials investor American Industrial Partners (AIP) in its US$1.272 billion all-cash acquisition of Avanos Medical, Inc. (NYSE: AVNS). Under the terms of the agreement, Avanos stockholders will receive US$25.00 per share in cash for each share of common stock they own. Avanos is a medical device company with manufacturing facilities in the U.S., Mexico, and Canada. Its products focus on two segments, Specialty Nutrition Systems and Pain Management and Recovery, to improve patient outcomes and reduce the cost of care.
