Biography

MELISSA GOLDSCHMID represents major financial institutions, private equity firms and their portfolio companies, and other market participants in asset-based lending transactions, including securitizations, term-loan and warehouse financings, and repurchase facilities across a variety of assets, such as single-family rental homes, commercial real estate, consumer and personal loans, student loans, data centers, home equity interests, residential mortgage loans, and life insurance products. Melissa also has experience advising on transactions involving subscription credit facilities, leveraged and acquisition financings, and tax credit financings.

Prior to joining Sidley, Melissa was an assistant general counsel for a local development corporation advising its management and development of a large industrial park. Melissa also worked as an associate at an international law firm on a variety of corporate and financial transactions.

Melissa's pro bono work includes assisting charitable corporations to establish and maintain their tax-exempt status and assisting small business owners with service agreements and advising on Minority- and/or Women-owned Business Enterprise (MWBE) certification.

Representative Matters

  • Representation of various clients including REITs and investment funds and their affiliated owner-operators and owners of single-family rental homes in connection with numerous warehouse facilities, 144A term securitizations, and other term financings and joint ventures.
  • Representation of various insurance companies and investment funds in arrangements for flow purchase and/or financing arrangements for consumer receivables generated by various online consumer finance platforms.
  • Representation of various investment banks, as agent and lead arranger, in senior warehouse financings for purchasing single-family homes.
  • Counsel to large financial institution as issuer in connection with 144A term securitizations of commercial mortgage loans.
  • Representation of Carlyle in connection with a US$300 million purchase facility of equity-sharing home loans from Unison.
