Biography

MELISSA GOLDSCHMID advises a wide spectrum of market participants — including private equity sponsors, hedge funds, credit funds, banks, insurance companies, specialty finance firms, and REITs — on structured finance and securitization transactions across consumer, real estate, and specialty asset classes. Her practice spans the full lifecycle of asset-based lending and is distinguished by cross-market fluency, collaborative deal execution, and a commitment to delivering innovative solutions at the intersection of finance, real estate, and regulatory change.

Prior to joining Sidley, Melissa was an assistant general counsel for a local development corporation advising its management and development of a large industrial park and also worked as an associate at another global law firm.

Representative Matters

  • Single-family rental operators and large institutional portfolio aggregators in 144A securitizations, warehouse facilities, term financings, and joint ventures involving the structuring and negotiation of multi-lender and multi-jurisdictional facilities.
  • Investment banks acting as agent and lead arranger in senior warehouse and term facilities and 144A securitizations for platforms acquiring and financing single-family home portfolios, including transitional-stage financings during horizontal and vertical development and for other alternative purposes.
  • Alternative investment funds, asset managers, and insurance funds in structuring single-bulk and flow purchase and financing arrangements for receivables, including consumer loans, personal loans, and student loans in multi-jurisdictional transactions often exceeding $1 billion.
  • The sponsor in Section 4(a)(2) private placements of asset-backed notes secured by insurance-related receivables.
  • A major financial institution acting as issuer in 144A term CMBS transactions secured by retail, multifamily, data center, and other commercial real estate assets.
  • A development corporation in various financing transactions including refinancings of existing debt through credit facilities secured by leasehold interests in major real estate projects, securing rehabilitation funding for historic property redevelopment using New Markets and Historic Tax Credits alongside private capital and advising stakeholders on the exit and unwind of tax credit financing vehicles.
  • Industrial and commercial landlords in funding and lease arrangements for manufacturing tenants to facilitate the redevelopment and build-out of urban innovation and technology centers.
  • Private equity groups in multibillion-dollar revolving subscription credit facilities and senior secured acquisition financing for portfolio companies across diverse industries.
