Biography
Andrea Hynes advises insurers, reinsurers, insurance intermediaries, investors and other participants in the global insurance industry on transactional, corporate and regulatory matters.
She works with clients across Europe, North America, Asia and offshore jurisdictions on matters involving the London and international insurance markets. Her practice includes advising on the corporate, commercial and regulatory issues arising in cross-border insurance transactions, restructurings and ongoing business operations.
Andrea’s experience includes advising on:
- the formation, acquisition, structuring, governance, reorganisation and disposal of insurance carriers, reinsurers and insurance intermediaries;
- domestic and cross-border insurance M&A;
- the establishment of branches and subsidiaries and related regulatory authorisations;
- the formation, acquisition and operation of managing general agents, coverholders and other insurance distribution businesses;
- corporate and regulatory matters involving the Lloyd’s market;
- insurance business and portfolio transfers;
- risk transfer, reinsurance and structured insurance transactions;
- regulatory change-of-control processes; and
- regulatory and compliance matters involving Lloyd’s, the Prudential Regulation Authority, the Financial Conduct Authority and other insurance regulators.
Andrea is admitted in New York, qualified as a solicitor in Ireland, and qualified as a solicitor in England and Wales. Her multijurisdictional qualifications complement her work on cross-border matters involving UK, Irish, US and international insurance businesses. Andrea’s work combines insurance regulatory advice with the structuring and implementation of complex cross-border transactions.

Examples of Andrea’s work include advising:
- A substantial institutional investor in Convex Group Limited (“Convex”) in Convex’s US$7 billion sale to Onex Corporation and American International Group, Inc.
- Apollo Funds in their strategic minority equity investment in Charles Monat Associates.
- Athora Holding Ltd. in its approximately £5.7 billion acquisition of Pension Insurance Corporation Group Limited (pending).
- Arthur J. Gallagher & Co. in the acquisition of AssuredPartners from GTCR for gross consideration of US$13.45 billion.
- Westfield in its acquisition of the Lloyd’s operations of Argo Group, including Argo’s Lloyd’s managing agency and Argo’s members supporting Syndicate 1200.
- Stonepeak on its agreement with the AA, the leading provider of roadside assistance services in the UK and a successful insurance business, and the AA’s majority shareholders, TowerBrook Capital Partners and Warburg Pincus. Per the agreement, Stonepeak will invest £450 million in the AA through a combination of common and preferred equity at an enterprise value of approximately £4 billion.
- Arthur J. Gallagher & Co. in its acquisition of the treaty reinsurance brokerage operations of Willis Towers Watson for US$3.25 billion.
- Major international (re)insurance groups on corporate and regulatory aspects of group restructuring.
- International (re)insurance groups on the establishment and authorisation of (re)insurance undertakings and intermediaries.
- Private equity investors on investment into the insurance industry including through the acquisition of (re)insurers and (re)insurance intermediaries.
- (Re)insurers on transfers of portfolios of life and non-life insurance business.
- (Re)insurance undertakings and intermediaries on cross-border mergers and the relocation/creation of Societas Europaea companies.
- Major UK (re)insurance undertakings and intermediaries on Brexit-related solutions.
- (Re)insurance undertakings and intermediaries on ongoing regulatory issues such as outsourcing and distribution agreements, conduct of business and compliance issues.
