Biography
VINCENT MARGIOTTA focuses his practice on securities and commercial litigation in federal and state courts nationwide. Vincent has been recognized in the 2026 edition of Best Lawyers: Ones to Watch in America for his practice in Commercial Litigation. He represents issuers, investment banks and financial services clients, technology companies, and other public and non-public companies. Vincent also represents companies and directors involved in M&A transactions in litigation arising from such transactions, as well as in other disputes relating to corporate governance and contests for corporate control, including shareholder activism defense. He frequently counsels companies, boards of directors, and other individuals on corporate governance matters and litigation risk. He also has counseled company boards and management with respect to internal and independent investigations.
Vincent writes frequently for Sidley’s Enhanced Scrutiny blog, which provides timely updates and thoughtful analysis on issues relating to securities litigation and other M&A and corporate governance matters from the Delaware courts and other jurisdictions.
Prior to joining Sidley, Vincent served as a law clerk to the Honorable Vincent L. Briccetti of the United States District Court for the Southern District of New York, and to the Honorable David H. Hennessy, Chief Magistrate Judge of the United States District Court for the District of Massachusetts.
Vincent received his B.A. from Fordham College at Rose Hill, and his law degree from Fordham University School of Law, where he was inducted into the Order of the Coif and Alpha Sigma Nu, and served as a notes and articles editor for the Fordham Law Review.
Vincent also serves as co-chair of the junior board of Part of the Solution, a New York-based non-profit that provides a mosaic of dignity and wellness services, including food security, long-term stability, and legal services to community members in need.

Vincent’s recent experience includes representation of:
- One of the largest publicly traded wholesale food distributors and certain of its directors and officers in a putative class action alleging securities fraud in connection with the company’s regulatory filings.
- A major financial institution in False Claims Act litigation in parallel proceedings in multiple jurisdictions.
- Purple Innovation, Inc. and an independent special committee of its board of directors in expedited litigation in the Delaware Court of Chancery, brought by the company’s largest stockholder in connection with takeover defenses and a proxy contest.
- A public software company and its former chief executive officer, where the court dismissed with prejudice a putative shareholder class action alleging securities fraud and misrepresentations in proxy materials.
- A former senior executive of a Fortune 100 company, in a derivative action pertaining to distribution of pharmaceuticals.
- Numerous public companies and their directors and officers in federal and state court litigation involving direct and derivative claims.
- A variety of clients in “strike” suits related to allegedly insufficient proxy disclosures.
- Numerous public companies in connection with responses to statutory books and records demands.
Community Involvement
Pro Bono
- Worked with the New York Civil Liberties Union (NYCLU) and the International Refugee Assistance Project (IRAP), to achieve a settlement in a case challenging the blanket denial of parole to asylum seekers detained at the Buffalo Federal Detention Center in Batavia, New York.
- Led a team that received Her Justice’s 2024 Legal Team Award for its successful representation of a pro bono client in connection with years’-long immigration and matrimonial matters.
- Worked with Human Rights First and the National Immigration Law Center to submit an amicus brief on behalf of dozens of nongovernmental organizations and law school clinics to challenge federal immigration protocols for asylum applicants.
- Represented a non-profit religious corporation in connection with its disposition of real estate assets and application to the New York Attorney General’s Office for approval of same.
