MASON PARHAM is a commercial litigator that focuses his practice on oil and gas disputes, securities and shareholder litigation, and M&A disputes in both state and federal courts and before arbitral tribunals. Mason is well-published on these and other areas, and his experience includes litigating matters related to long-term natural gas, NGL, and LNG sale and purchase agreements; operating agreements; pipeline transportation, gas gathering, and processing agreements; royalty disputes; Sections 10(b) and 14(a) of the Securities Exchange Act; Section 11 of the Securities Act; shareholder derivative litigation; and post-acquisition purchase price and earnout disputes. Mason also has experience with labor and employment disputes, insurance litigation, and internal investigations.
Mason graduated summa cum laude from the SMU Dedman School of Law, where he was a member of the Order of the Coif and served as an articles editor for the SMU Law Review Association. He received his B.A., magna cum laude, from Southeastern Oklahoma State University in 2009, where he received both academic and athletic honors including “Lone Star Conference North Academic Player of the Year,” and being selected to the “2006 ABCA/Rawlings All South-Central Region Baseball Team.”

- Represents an oil and gas company in a high-stakes natural gas arbitration in front of the International Chamber of Commerce’s International Court of Arbitration.
- Represented a publicly traded building products company and a private equity firm in an arbitration arising from the US$1.4 billion acquisition of a building products company.
- Represented a publicly traded building products company in shareholder derivative litigation, resulting in dismissals in multiple jurisdictions.
- Represented a publicly traded building products company in the successful resolution of a significant securities class action lawsuit.
- Represented a Aspen Insurance Holdings Limited in a COVID-19-related litigation, which has resulted in dismissals across multiple jurisdictions.
- Represented a distribution and marketing company in investigating former employee’s illegal hacking and cybersecurity violations, and won final judgment (including attorneys’ fees) against former employee at trial for violations of Computer Fraud and Abuse Act and theft of trade secrets.
- Represented a midstream oil and gas client in litigation related to a dispute over the co-ownership of a gas processing facility, which was resolved after dismissal.
- Represented a midstream oil and gas client in litigation over royalty payments and won summary judgment on multiple claims.
- Represented an oil exploration client in shareholder derivative litigation arising from alleged royalty underpayments and won dismissal with prejudice.
- Represented an oilfield services client in resolving litigation arising from alleged violations of the Fair Labor Standards Act.
- Represented an oil industry client in joint Department of Justice and Securities Exchange Commission investigation in connection with a Foreign Corrupt Practices Act investigation into international operations.
- Represented a pharmaceutical company in global risk assessment stemming from investigation into alleged violations of the Foreign Corrupt Practices Act.
- Represented a mortgage wholesaler in litigation involving allegations of theft of trade secrets and violations of restrictive covenants.
