Sidley Represents Essential Properties in US$517.5 Million Senior Notes Offering

Sidley advised Essential Properties Realty Trust, Inc. (NYSE: EPRT), in an exempt offering by Essential Properties, L.P., its operating partnership, to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended, of US$517.5 million aggregate principal amount of 4.375% Exchangeable Senior Notes due 2032. The deal closed on October 30, 2026. The offering included the full exercise of the initial purchasers’ option to purchase an additional US$67.5 million of notes, on top of the US$450 million base deal. The notes are fully and unconditionally guaranteed by Essential Properties Realty Trust, Inc. on a senior, unsecured basis.
