
Biography
Oindree is an Indian- and U.S.-qualified capital markets lawyer. She has over six years of experience in various equity and debt capital markets transactions, including IPOs, QIPs, rights issues, EMTN offerings, high-yield offerings, investment-grade offerings, and SEC-registered offerings.
Oindree started her career in the capital markets team of a leading law firm in Mumbai, India. Prior to joining Sidley, she worked on the capital markets team of a leading U.S. law firm in its London office.
Oindree is fluent in English, Hindi, and Bengali and has a working proficiency in Marathi.

Oindree’s experience includes advising*:
- ICICI Securities, Axis Capital, HSBC, IDBI Capital, Motilal Oswal, and SBI Capital Markets, in connection with the US$460 million initial public offering of equity shares of National Securities Depository Limited (NSDL). This is the largest IPO of a market infrastructure institution in India and marks the public debut of a key pillar of India’s capital markets ecosystem.
- ICICI Securities, JM Financial and Nomura in connection with the US$185 million initial public offering of equity shares of Kalpataru Limited. Kalpataru Limited is a prominent, integrated real estate development company with a presence across the Mumbai Metropolitan Region and Pune in India.
- Sherwood Financing Plc (Arrow Global Group) in connection with its €397.1 million high-yield issuance of senior secured notes comprising an exchange offer for senior secured floating rate notes due 2027 and a concurrent new offering, with J.P. Morgan, Barclays, HSBC, NatWest, and certain others as dealer managers.
- Stonegate Pub Company Financing 2019 Plc in connection with its £1.6 billion high-yield issuance comprising an offering of its 10.75% senior secured notes due 2029 and €470 million aggregate principal amount of its floating rate senior secured notes due 2029, with Barclays, BNP Paribas, Deutsche Bank, Goldman Sachs, Lloyds Banking Group, RBS, and Rabobank as dealers.
- Blackstone Property Partners Europe Holdings S.a.r.l. in connection with updates for its US$10 billion medium-term program, with BofA Securities as an arranger and Bank of China, Morgan Stanley, Santander, BNP Paribas, and RBC Capital Markets as dealers.
- Hyundai Motor India Limited in connection with its US$3.3 billion initial public offering of equity shares underwritten by Kotak Mahindra, Citigroup, HSBC, J.P. Morgan, and Morgan Stanley. This is the largest Indian IPO to date.
- Axis Capital, Kotak Mahindra, Morgan Stanley, and SBI Capital Markets in connection with the US$510 million initial public offering of equity shares in International Gemmological Institute (India) Limited. This is the first company in the gems and studded jewelry certification industry worldwide to be listed.
- Jefferies in connection with the US$575 million qualified institutions placement of equity shares in JSW Energy Limited.
- Verlinvest S.A., the investor selling shareholder, in connection with the US$190 million initial public offering of equity shares in Sula Vineyards Limited, underwritten by Kotak Mahindra, CLSA, and IIFL Securities.
- Axis Bank Limited
- on its US$600 million AT-1 ESG-compliant notes issuance, with HSBC as the sole sustainable structuring advisor; Axis Bank, HSBC, BNP Paribas, Citigroup, J.P. Morgan, and Standard Chartered Bank as joint global coordinators; and Crédit Agricole, Emirates NBD Bank, J.P. Morgan, Merrill Lynch, Mashreqbank, MUFG Securities, and Société Générale as the joint bookrunners. This was the first-ever ESG-compliant AT-1 issuance in India, the second in Asia, and the third such trade in the world.
- on its US$1.7 billion qualified institutions placement of equity shares underwritten by Axis Capital, UBS, Credit Suisse, HSBC, BNP Paribas, ICICI Securities, SBI Capital Markets, and Yes Securities.
- J.P. Morgan, Citigroup, Barclays, BofA Securities, Evercore, Credit Suisse, Deutsche Bank, Baird, Cowen Inc., Needham & Company, and William Blair as active and passive bookrunners, in connection with the SEC-registered ADR offering by Coforge Limited. This is the inaugural ADR issuance by an Indian issuer under the new sponsored depositary receipts regime introduced in 2019 by the Securities and Exchange Board of India.
- PB Fintech Limited (holding company of Policybazaar and Paisabazaar) in connection with its US$767 million initial public offering of equity shares underwritten by Kotak Mahindra, Morgan Stanley, Citigroup, ICICI Securities, and Jefferies. This is one of the first five “unicorns” to be listed in India.
- Kotak Mahindra, Edelweiss, and ICICI Securities in connection with the US$134 million initial public offering of equity shares in Indigo Paints Limited.
- Axis Capital, Credit Suisse, Edelweiss, and Nomura in connection with the US$185 million initial public offering of equity shares in MedPlus Health Services Limited.
- BofA Securities, CLSA, Kotak Mahindra, and JM Financial in connection with the US$180 million initial public offering of equity shares in Campus Activewear Limited.
- ICICI Securities and Axis Capital in connection with the US$57 million initial public offering of equity shares in Dodla Dairy Limited.
- ICICI Securities and Credit Suisse in connection with the US$260 million qualified institutions placement of equity shares in The Indian Hotels Company Limited (Taj Hotels).
- Mindspace Business Parks REIT in connection with its US$625 million initial public offering of equity shares underwritten by Morgan Stanley, Axis Capital, DSP Merrill Lynch, Citigroup, JM Financial, Kotak Mahindra, CLSA, Nomura Financial, UBS Securities, Ambit, HDFC Bank, IDFC Securities, and ICICI Securities. This was the IPO of India’s second real estate investment trust.
- IndusInd Bank Limited in connection with its US$400 million medium-term note issuance. Acted as the listing agent for listing on the Indian International Stock Exchange.
- Aavas Financiers Limited in connection with its US$235 million initial public offering of equity shares underwritten by ICICI Securities, Citigroup, Edelweiss, Spark Capital, and HDFC Bank.
- Bombay Stock Exchange in connection with its US$145 million initial public offering of equity shares underwritten by Axis Capital, Edelweiss, Jefferies, Motilal Oswal, Nomura, SBI Capital Markets, SMC Capital, and Spark Capital. This was India’s first stock exchange to be listed.
