Biography
PATRICK KWAK advises clients on international corporate finance transactions and securities regulation.
He draws on a sophisticated understanding of the market and deep technical knowledge to represent private equity sponsors, their portfolio company, and corporate issuers in:
- Public and private debt securities offerings, including Rule 144A offerings, with an emphasis on high-yield debt products;
- Leveraged and acquisition financing, including bridge financing;
- Private credit financings;
- Holdco financings; and
- Restructurings and liability management transactions, including tender offers, consent solicitations, and exchange offers.
Chambers UK 2026 ranks Patrick as “Up and Coming” for Capital Markets: High-Yield Products, where a client state “he really got into the weeds with me on complex documents. - Adevinta, a leading European online classifieds group backed by a consortium of shareholders including Blackstone and Permira, on financing arrangements to refinance its existing debt facilities and facilitate a distribution to shareholders.
- ADVANZ PHARMA, a Nordic Capital portfolio company, in connection with the issuance of €917 million (equivalent) in new euro- and pound sterling-denominated senior secured notes and the borrowing of a €165 million term loan B facility.
- Clearlake Capital in its US$7.7 billion take-private acquisition of Dun & Bradstreet, a global provider of business decisioning data and analytics.
- Belron UK Finance plc on its €4.2 billion (equivalent) senior secured note and term loan financing, the proceeds of which were used to pay an extraordinary dividend to its shareholders.
- Permira and Blackstone-led consortium on the private credit loan financing for the €14 billion voluntary tender offer to acquire all of the outstanding ordinary shares in Adevinta ASA.
- EQT and Limacorporate on the refinancing of its existing senior secured notes and holdco PIK financing and in the subsequent sale of Limacorporate to Enovis.
- The EQT-led consortium on financing for the £4.5 billion recommended cash offer of Dechra Pharmaceuticals PLC.
- Nordic Capital on its acquisition of ADVANZ Pharma, as well as subsequent acquisition financings by ADVANZ Pharma.
- Hellman & Friedman on acquiring Verisure and subsequent financings totaling over €8 billion (equivalent).
- A consortium led by EQT Partners (EQT) in connection with its acquisition of Cerba and Cerba’s subsequent acquisition of Lifebrain.
- A consortium led by EQT and Abu Dhabi Investment Authority on the cross-border financing for acquiring Nestlé’s Skin Health for CHF10.2 billion.
- CVC Capital Partners on the concurrent exchange offer and private placement with respect to its portfolio company Domestic & General.
- Youngs Seafood, a European food producer, on its debt restructuring and sale.
- Victoria PLC on multiple issuances of senior secured notes, totaling over €1 billion.
- A syndicate of dealer managers in connection with the offer by NewDay to exchange its outstanding senior secured notes due 2024 for new senior secured notes due 2026 and cash consideration.
- The lenders to the consortium of Advent, Cinven, and RAG on bond financing for their acquisition of thyssenkrupp’s Elevator, a leading international provider of elevator technology, with operations in more than 1,000 locations worldwide, headquartered in Germany.
- The initial purchasers on McLaren’s comprehensive refinancing across debt and equity.
