Biography

REIKO NODA represents Japanese companies in a wide range of capital markets, investments funds, and general corporate matters. With respect to capital markets transactions, she has represented mainly issuers in domestic and international capital markets transactions, such as corporate debt offerings, global equity offerings, global credit facilities, Euro medium-term note programs, U.S. commercial paper programs, American Depositary Receipt (ADR) facilities and private placement offerings. She has also represented U.S. underwriters and placement agents in capital markets transactions, including SPAC IPO and deSPAC PIPE transactions. She recently represented the issuer and the parent guarantor in the first global offering of sustainability-linked bonds by a Japanese company.

In the area of investment funds, Reiko has extensive experience representing Japanese financial institutions and other institutional investors in their investments in various investment fund products, either together with other institutional investors or alone. More specifically, she regularly represents Japanese financial institutions in connection with their alternative investments, including their investments in U.S. financial products or assets using various investment vehicles, such as partnerships or limited liability companies organized in the U.S. or vehicles organized in the Cayman Islands. In the course of representing Japanese financial institutions or other institutional investors that have entrusted the management of their investment portfolios to external investment managers, she has negotiated investment management agreements and related documentation with many investment managers in the U.S. and Europe, ranging from the largest investment managers to the smaller, more specialized investment managers.

As part of her corporate practice, she has advised major Japanese publicly reporting companies in connection with their disclosure obligations with the U.S. Securities and Exchange Commission, on corporate governance matters and matters relating to the Investment Company Act of 1940.

In addition to her transactional work, Reiko has been advising Japanese corporate clients regarding criminal and civil investigations launched by U.S. governmental agencies, including the U.S. Department of Justice, the U.S. Securities and Exchange Commission, and the U.S. Commodity Futures Trading Commission. She has experience conducting internal investigations and advising Japanese companies in various aspects of government investigations and civil litigations, and assisting such Japanese companies when such investigations result in civil actions.

She is fluent in English and Japanese.
