Biography

STEVEN RUTKOVSKY focuses on complex leveraged finance and fund finance transactions. He represents private equity funds, credit funds, and public and private companies in a wide range of financings, including leverage buyouts, acquisitions, dividend recaps, fund subscription lines and leverage facilities, involving both syndicated and privately placed debt at all levels of the capital structure. 

Advocacy on behalf of clients has earned Steve notable awards and acknowledgement in numerous industry publications, including The Best Lawyers in America (2022) and IFLR1000 as a Leading Lawyer from 2015-2017 and as Highly Regarded from 2018 – 2020.

Prior to joining Sidley, Steve was a partner at another global law firm.

Representative Matters

  • One Equity Partners, a middle market private equity firm and partner with KBR in portfolio company Brown & Root Industrial Services (“Brown & Root”), in Brown & Root’s acquisition of Specialty Welding and Turnarounds.
  • RelaDyne LLC, a portfolio company of American Industrial Partners, in its acquisition of Sun Coast Resources, Inc. and Grupo Lucalza.
  • Wafra Inc. in its strategic investment in Spotless Brands, a car wash platform that partners with world-class operators and has over 140 locations.
  • Welsh, Carson, Anderson & Stowe in obtaining financing for its acquisitions of U.S. Anesthesia Partners and U.S. Acute Care Solutions and US Radiology Specialists.
  • Kohlberg & Company in obtaining financing for its acquisitions of Sara Lee Frozen Bakery, CIBT Global, EN Engineering, and US Retirement & Benefits Partners.
  • Numerous private equity fund sponsors in obtaining capital call subscription facilities, management company facilities, co-investment facilities, and partner loan programs.

Some of the above matters were handled prior to joining Sidley.
