Matt regularly represents public and private companies, including private equity funds, in connection with their transactional needs and other corporate matters. Matt also has experience representing clients in a number of industries, including technology/software, insurance, financial services and REITs. Some notable recent engagements include representing:

• Clearlake Capital Group on multiple acquisitions and divestitures, including its acquisition of Chelsea Football Club and related affiliates, its acquisition of Quest Software from Francisco Partners, its acquisition of Confluence Technologies, Inc. from TA Associates Management, LP and its US$3 billion “take-private” acquisition of Endurance International Group Holdings, Inc. (Nasdaq: “EIGI”);
• Clearlake Capital Group, L.P. and Motive Partners in their acquisition of BETA+ assets from the London Stock Exchange Group;
• Ryan Specialty Group on multiple acquisitions, including its acquisition of All Risks, Ltd.;
• Pretium Partners on multiple acquisitions, including its pending US$2.4 billion “take private” acquisition of Front Yard Residential Corporation (NYSE: “RESI”) and its acquisitions of Selene Finance, a specialty residential mortgage servicing business and Deephaven Mortgage, a non-qualified mortgage origination business;
• Welltower Inc. (NYSE: “WELL”) in connection with multiple acquisitions and cross-border joint venture arrangements;
• Home Partners of America, Inc., a single-family residential acquisition and rental  business, in its US$6 billion sale to Estate Income Trust, Inc., an affiliate of The Blackstone Group Inc.
• Transworld Systems Inc, a Clearlake Capital-backed analytics-driven provider of accounts receivable management, healthcare revenue cycle and loan servicing solutions in multiple acquisitions;
• BetaNXT, a Clearlake Capital-backed provider and wealth management technology and outsourcing solutions in its acquisition of Mediant, Inc.;
• Newfold Digital Inc., a Clearlake Capital-backed web presence solutions provider in multiple acquisitions, including its acquisition of MarkMonitor from Clarivate Plc;
• Constant Contact Inc, a Clearlake Capital-backed online marketing solutions provider in multiple acquisitions, including its “take-private” acquisition of SharpSpring, Inc. (Nasdaq: “SHSP”);
• Confluence Technologies Inc., a Clearlake Capital-backed leading analytics-driven provider of investment management solutions in multiple acquisitions, including its acquisitions of Compliance Solutions Strategies and Investment Metrics;
• Porch.com Inc. in its business combination with PropTech Acquisition Corporation, a SPAC, to become a publicly listed company in a transaction valued at US$523 million and its subsequent acquisition of Homeowners of America, a residential property insurance carrier, for US$100 million;
• CIT Bank (NYSE: “CIT”) in connection with the sale of its reverse mortgage loan portfolio valued at approximately US$900 million and its related servicing rights portfolio and servicing platform;
• The Chicago Stock Exchange in connection with its sale to Intercontinental Exchange, Inc., the parent company of the New York Stock Exchange (NYSE);
• BorgWarner Inc. (NYSE: “BWA”) in its acquisitions of Remy International, Inc., a transaction valued at US$1.2 billion, Sevcon, Inc. and multiple other transactions;
• Various venture capital investments and emerging company representations including Mapbox, Inc., 7Wire Ventures, Basecamp (formerly 37signals), and Civis Analytics, Inc.
