Sidley Represents Olin Corporation in Merger of Equals With Huntsman Corporation
Sidley is representing Olin Corporation as regulatory counsel in its merger of equals with Huntsman Corporation. The deal combines two leading chemical manufacturers, bringing together Huntsman’s specialty epoxy portfolio and Olin’s commodity epoxy platform to create OlinHuntsman Corporation, a US$12 billion+ North American chemicals leader. The combined company is expected to serve a broad range of end markets, including automotive, construction, infrastructure, and industrial applications, while enhancing operational integration and expanding opportunities to convert electrochemical production into downstream products. The transaction has been unanimously approved by the boards of directors of both companies and is expected to close in the first half of 2027, subject to customary closing conditions.
The Sidley team is led by Corey Roush (Antitrust and Competition) and includes Sarah Scheinman and Taylor Randleman in the U.S., as well as Vincent Brophy, Arthur Clover, and Rosanna Connolly (Antitrust and Competition); and Sven De Knop and Alessandra Moroni (Global Arbitration, Trade and Advocacy) in Europe.
