Biography

MARISSA GLUCK represents banks, issuers, underwriters, investors, placement agents, borrowers, lenders, funds, and other financial institutions in a broad range of structured finance, securitization, and secured financing transactions. She has particular experience with esoteric asset-backed securitizations, including transactions involving affordable housing, fintech and startup company assets, data centers, transportation assets, and venture capital investment financings. Marissa also advises clients on the development of bespoke structured finance vehicles and products.

Representative Matters

  • KKR, as sponsor, on the asset-backed acquisition financing of the Kobalt music catalog and other catalogs.
  • Numerous borrowers on affordable housing securitization transactions.
  • Investment banks, as initial purchasers, on multiple data center securitizations.
  • A venture capital fund on a bespoke structure to provide financings to startup companies.
  • Startup companies in venture capital investment financings.
  • Investors on a private placement transaction backed by customer agreements, HFC infrastructure, network assets, control accounts, and shared infrastructure agreements.
  • A fund, as borrower, on a financial assets-backed credit facility, including the contribution of participations and active trades.
  • The seller of consumer loans under a forward-flow purchase agreement.
