
Biography
NITHYA SWAMINATHAN focuses her practice on corporate and securities law matters, representing underwriters and issuers in connection with a variety of SEC-registered and exempt transactions, including initial public offerings, common and preferred equity offerings, and debt offerings. She represents clients across a range of industries, including life sciences, financial services, and real estate.
Nithya was recognized in Best Lawyers: Ones to Watch® in America for Securities / Capital Markets Law (2026).
Nithya earned her J.D. from New York University School of Law where she was a commentary editor for the Journal of International Law and Politics. Prior to attending law school, Nithya was a legal assistant at the firm’s Singapore office.

Representative Matters
Nithya has assisted in the representation of matters including:
- Advising Membership Collective Group Inc., a London-based membership and hospitality company (and parent company of Soho House and related businesses), in connection with its initial public offering of US$420 million. MCG sold thirty million shares of its common stock at US$14.00 per share.
- Representing Morgan Stanley, J.P. Morgan, and Citigroup in the US$300 million initial public offering of Bridge Investment Group Holdings Inc., a leading, vertically integrated real estate investment manager, diversified across specialized asset classes, with approximately US$26 billion of assets under management.
