Sidley is representing a Special Committee of the Board of Directors of Tesla, Inc. As described in the preliminary proxy statement filed on Wednesday, April 17, 2024, the Special Committee recommended that shareholders vote at Tesla’s annual meeting in June to approve Tesla reincorporating in Texas and to ratify Elon Musk’s 2018 compensation package. The preliminary proxy statement attached the Special Committee’s report supporting these recommendations.
