Sidley represented the underwriters in connection with the approximately US$260 million underwritten public offering of 15,525,000 shares of common stock of Redwire Corporation, an aerospace and defense technology company. The common stock is listed on the New York Stock Exchange under the symbol “RDW.” Redwire intends to use the net proceeds from the offering to repay indebtedness incurred in connection with its acquisition of Edge Autonomy, a manufacturer of uncrewed technology systems, to repurchase a portion of its outstanding convertible preferred stock, and for general corporate purposes. The offering launched and priced on June 16, 2025 and closed on June 18, 2025.
The deal team was led by Sam Gandhi and Alex Csordas, and included Nithya Swaminathan, Amy Jang, Zachary Brusewitz, and Jen Greenberg (all Capital Markets). The Tax team included Nick Brown and Patrick Gray. The Privacy and Cybersecurity team included Francesca Blythe, Lauren Kitces, and Brad Carney.
