Antitrust Clearance of Distressed Transactions: Don’t Assume It Will Be Easy

Sadly, the business press has begun to speculate that the current COVID-19 outbreak and resulting economic crisis will result in such severe financial distress for many entities that they will be forced either to sell themselves or to seek bankruptcy protection under which the entity or some of its assets will be acquired by a third party. There has been further speculation that transactions involving distressed entities may obtain more favorable treatment from antitrust authorities than they would in ordinary times, potentially leading to significant increases in concentration in some industries as healthy entities buy up distressed ones.
