Sidley Represents Board of Directors of Accelerant in US$4 Billion Acquisition by Thoma Bravo

Sidley is representing the board of directors of Accelerant as special insurance counsel in connection with its definitive agreement to be acquired by Thoma Bravo in an all-cash transaction with an enterprise value of more than US$4 billion. Accelerant operates Accelerant Risk Exchange, a data-driven platform that connects specialty insurance underwriters with risk capital providers through advanced analytics, real-time data, and transparent underwriting insights. Altamont Capital Partners, Accelerant’s largest shareholder, has agreed to vote its shares in favor of the transaction and, alongside Accelerant’s founders, intends to retain equity ownership in the company following the closing.

The Sidley team is being led by Tony Ribaudo, James Phythian-Adams, and Sara Africano (Insurance), and Sam Gandhi (Capital Markets); it includes Andrea Hynes, Ian Schmidt, and Michael Bay (Insurance).
