Biography

BRIAN BRADSHAW focuses his practice on project development and finance, corporate finance, and mergers and acquisitions matters involving oil and gas, power, and liquefied natural gas (LNG). Brian’s experience in domestic and international matters include every stage of the development, construction, and financing of upstream, midstream, and downstream projects, as well as conventional and renewable power projects. He has advised clients on a wide range of projects including liquefaction, regasification, refineries, petrochemical plants, natural gas and liquids pipelines, upstream development, FPSOs, FSRUs and all-related supply and off-take arrangements for gas, power, LNG, crude oil, refined products, and coal. In the power industry, Brian has advised on both fossil fuel plants and alternative energy power plants, including hydro, solar, wind, and nuclear, as well as transmission lines (HVDC). He also advises clients on shipping and maritime-related issues and engineering, procurement, and construction contracts.

  • A Brazilian company on the acquisition of an upstream interest in the Gulf of Mexico.
  • A major energy company in the development of the Camisea project in Peru, including structuring the JOA, gas sales, and related upstream arrangements.
  • A major energy company in the acquisition of an upstream interest in Brazil.
  • A major energy company in the acquisition of an upstream interest in Bolivia and its subsequent nationalization.
  • A major energy company in the development of the off-shore development of the Lula field in Brazil, including the unitization of the Lula Iara fields, acquisition of FPSOs, and lifting arrangements.
  • An international energy company on the acquisition of its Colombian oil and gas exploration production business unit for US$1.9 billion.
  • An international energy company in the acquisition of a portfolio of blocks in Brazil and related development activities.
  • A Brazilian independent in the acquisition of a portfolio of approximately 10 blocks in Brazil and related development activities.
  • A Brazilian independent in several acquisitions, dispositions, and farm-outs in South America and Sub-Saharan Africa.

LNG and Natural Gas

  • The sponsors in all aspects of the development and financing of the Cameron LNG liquefaction project in Louisiana, including drafting and negotiating LNG tolling agreements, equity arrangements, construction contracts, maritime arrangements, and financing. 
  • An international consortium in the upstream acquisition and midstream development of a related natural gas pipeline and liquefaction facility, together with the project financing, for Peru LNG, including drafting and negotiating the equity sell-down agreements, gas supply agreements, joint operating agreement, gas transportation agreements in Spanish, financing agreements, EPC contract, and FOB LNG supply agreement.
  • A major utility in the development of Costa Azul, an LNG regasification facility in Baja, Mexico, including drafting and negotiating a DES LNG supply agreement with deliveries from Indonesia, a DES LNG supply agreement with deliveries from Malaysia, a terminal use agreement, natural gas sales agreements, and natural gas transportation agreements.
  • An international consortium in the development of an LNG regasification plant in Sonora, Mexico, including drafting and negotiating a DES LNG supply agreement, terminal use agreements, gas transportation agreements, and project development agreements.
  • The development of an LNG liquefaction plant in Mexico, including negotiation of EPC contract and LNG supply agreement.
  • The development of regard facility in the Dominican Republic using an FSRU.
  • The development and financing of Annova LNG in South Texas.
  • A major international energy company in numerous tolling and capacity arrangements for LNG liquefaction facilities.
  • The development of an LNG regasification facility on the Gulf Coast of the United States with deliveries on a DES basis including, EPC contracts.

Power

  • The development of a nuclear power plant in South Texas, including negotiation of EPC agreements.
  • The development of clean-coal technology to be integrated into greenfield power plants, including negotiation of multiple EPC contracts.
  • The development of 375 MW power plant located in Rio de Janeiro, Brazil, including negotiation of EPC and off-take agreements.
  • The development of 500 MW combined-cycle power plant located in Rio de Janeiro, Brazil, including negotiation of EPC and off-take agreements.
  • The development of 150 MW plant in Puerto Suarez, Bolivia, including negotiation of EPC and off-take agreements.

Project Finance

  • The financing of a petrochemical refinery in Brazil and the financing of a 350 MW power plant in Brazil.
  • The financing and subsequent refinancing of a 150 MW barge-mounted, diesel-fired power plant in Nicaragua.
  • The financing of a petroleum coke facility on the Gulf Coast.
  • The restructuring of the financing of a 230 MW barge-mounted, diesel-fired power plant in Guatemala.
  • The restructuring of the financing of a 280 MW diesel-fired power plant in Panama.
