Kaisa Kuusk

KAISA KUUSK focuses her practice on cross-border mergers and acquisitions, public to private transactions, structured equity solutions, and strategic joint ventures, typically representing private equity firms.

Kaisa has advised on a broad range of acquisitions as well as general corporate matters across Europe, including the UK, France, Germany, Italy, Luxembourg, the Netherlands, the Nordics, Portugal, and Slovenia. She has extensive experience across a broad range of sectors, including financial services, energy, banking, healthcare, gaming, insurance, business services, and industrials.

As in previous editions (2024, 2025), Kaisa is recommended for Private Equity by Legal 500 UK 2026. She was also named by Law.com International as a “Private Equity Rising Star” in 2022 and shortlisted as a “Corporate Rising Star” at Euromoney’s 2023 Women in Business Law EMEA Awards.

Prior to joining Sidley in 2023, Kaisa was a partner in the corporate department of another international law firm.

Recent examples of Kaisa’s work include advising:

• Apollo-managed funds and affiliates in connection with the launch of TenFifty Capital, a new European-focused commercial real estate lending platform.
• Apollo-managed funds in their acquisition of a majority stake in Kelvion, a leading global provider of energy-efficient heat exchange and cooling solutions, from funds advised by Triton Partners.
• Apollo and certain other shareholders on the sale of the share capital of German bank Oldenburgische Landesbank (OLB) to TARGO Deutschland GmbH, a subsidiary of leading French cooperative bank Crédit Mutuel Alliance Fédérale.

• Funds managed by affiliates of Apollo Global Management, Inc. in:
  
  • their acquisition of the Netherlands-based equipment leasing specialist Beequip B.V. from NIBC;
  • the sale of Summit Leasing Slovenia, a leasing company in Slovenia and Croatia;
  • the acquisition of The Travel Corporation;
  • their minority equity investment in AUTODOC SE;
  • its US$43 billion merger with Athene;
  • takeover bid for 100% of the shares of Applus Services, holding company of the Applus industrial testing group, for approximately €1.38 billion;
  • acquisition of the Terminals, Solutions & Services (TSS) business line from Worldline;
  • acquisition of a majority-stake in AS Graanul Invest;
  • sale of their portfolio company, Nova KBM d.d. to OTP Bank;
  • €500 million investment in Sazka Group A.S.; and
  • sale of Amissima Assicurazioni to HDI Assicurazioni, a subsidiary of Talanx AG.
• Athene and funds managed by affiliates of Apollo Global Management, Inc. in Athene’s acquisition of Foundation Home Loans from funds managed by affiliates of Fortress Investment Group.
• Gamenet Group S.p.A., a portfolio company of funds managed by affiliates of Apollo Global Management, Inc., in its €950 million acquisition of the Italian business of International Game Technology PLC consisting of 100% of the share capital of Lottomatica Scommesse S.r.l. and Lottomatica Videolot Rete S.p.A.
• Nova KBM, a portfolio company of funds managed by affiliates of Apollo Global Management, Inc., in its €444 million acquisition of Abanka.
