Biography

CATHRYN LE REGULSKI brings her prior employment litigation experience to bear in her role as a strategic advisor and counsel to publicly held, private, and not-for-profit companies on a wide array of employment law matters. She has significant experience with private equity firms, emerging and venture capital-backed companies, global enterprises, and publicly traded companies in the technology, life sciences, REIT, and healthcare industries. Cathryn’s practice has a particular emphasis on handling complex employee issues resulting from mergers and acquisitions (both buy-side and sell-side), financings, spinoffs and divestitures, and public offerings. In addition to providing strategic and corporate counseling, Cathryn’s practice encompasses executive transitions, investigations and training, compensation matters, workplace culture and policies, personnel management, strategic restructuring and reorganizations, and restrictive covenants.

Cathryn previously served as office co-managing partner of another global law firm.

  • Ryan Specialty, a specialty insurance provider, wholesale broker, and managing underwriter, in its acquisition of Innovisk Capital Partners LLP, a London-based portfolio of specialty managing general underwriters in indemnity, environmental, transactional liabilities, and commercial auto insurance.
  • International Game Technology PLC in its US$6.3 billion sale of its Gaming & Digital business to a newly formed holding company owned by funds managed by affiliates of Apollo Global Management, Inc.
  • Symplr in its agreement to acquire Midas Health Analytics Solutions from Conduent Incorporated.
  • Akoya Biosciences, Inc. in its recent initial public offering.
  • Liquidia Technologies, Inc., a late-stage clinical biopharmaceutical company, in its initial public offering.
  • Cowen and Company, LLC, William Blair & Company, L.L.C., BTIG, LLC, and Stephens Inc. as underwriters in the US$110.4 million initial public offering of Alpha Teknova, Inc., a provider of critical reagents for the development and production of biopharmaceutical products.
  • Centroid Investment Partners in its agreement to acquire TaylorMade Golf Company, Inc.
  • LLR Partners in its growth investment in Dizzion, Inc., a provider of managed desktop as a service (DaaS) to the global remote workforce, its acquisition of a majority stake in Geoforce, a Dallas-based provider of global traceability solutions for field equipment and vehicles, and other similar transactions.
  • Guardian Capital Partners in the acquisition of Carson-Dellosa Publishing, LLC, a provider of K-8 supplemental education content, and other similar transactions.
  • Act II Global Acquisition Corp. in a business combination with Flavors Holdings Inc. subsidiaries Merisant Company, a manufacturer of zero and low-calorie sugar substitutes, and MAFCO Worldwide LLC, a manufacturer of natural licorice products.
  • Tally Energy Services in the acquisition of Epic Lift Systems, a portfolio company of Intervale Capital.
  • Cimpress N.V. in its acquisition of BuildASign, a Texas-based online provider of canvas wall décor, business signage and other large-format printed products.

  • InstarAGF Asset Management Inc. in its definitive agreement to acquire LS Networks, a Portland, Oregon-based leading fiber-optic bandwidth infrastructure services provider.
  • Bowlero Corporation in its acquisition of the Professional Bowlers Association and other similar companies.
  • CIRCOR International, Inc., a provider of flow control solutions and other highly engineered products for the industrial, energy, aerospace and defense markets, in the sale of its Instrumentation and Sampling business to Crane Co., the sale of its Reliability Services business to an affiliate of RelaDyne LLC, and the sale by its subsidiary, CIRCOR Energy Products LLC (CEP), of its distributed valve business to MS Valves GmbH.
