
Biography
ROHAN MEHTA focuses his practice on the representation of banks, private equity companies, other alternative asset funds, insurance companies, and other financial intermediaries in asset-backed finance (ABF), structured finance, asset securitization, forward-flow purchase, portfolio acquisition, and special situation transactions. Financings and acquisitions of loans, receivables, and stream-of-payment assets, and the structuring of traditional and bespoke solutions to warehouse and/or securitize those assets, comprise a significant portion of his practice.
Rohan previously left the firm as a managing associate in the Chicago office. Before returning to the firm, Rohan served as deputy general counsel of a global investment firm focusing on structured credit and asset-backed finance solutions.

Representative Matters
Representative transactions and financial products include:
- Represented a joint venture among Nelnet, Inc. and certain investors in acting as issuer’s counsel for an over US$4 billion private student loan-backed securitization.
- Represented the buyer group in the acquisition of Wells Fargo’s approximately US$10.5 billion student loan portfolio.
- Representation of an owner-operator of single-family homes in connection with numerous warehouse facilities and term financings.
- Representation of issuers in several privately placed securitizations of consumer loans.
- Representation of investment fund clients in the establishment of purchasing trusts and purchase programs to acquire whole loans originated on online marketplace lending platforms.
