DOJ Issues FCPA Opinion Addressing “Highly Unusual” Circumstances

The U.S. Department of Justice (DOJ) issued a Foreign Corrupt Practices Act (FCPA) Opinion Procedure Release advising a U.S.-based Requestor that a cash payment of $175,000 to a third party purportedly acting on behalf of a foreign country would not trigger an enforcement action under the FCPA’s anti-bribery provisions. This is DOJ’s first opinion release since 2020 and only the second since 2014. While the opinion considered “highly unusual and exigent circumstances,” it is noteworthy that the DOJ provided a preliminary opinion immediately, which suggests that requesting an FCPA opinion may be an option for companies facing urgent situations. The opinion also provides new guidance regarding potential liability for conduct in circumstances involving extortion or duress. Companies should review this and any future opinions as they continue to evaluate their FCPA compliance guidance.
