David Grinberg brings more than 25 years of experience as M&A counsel. He routinely represents founder-owned companies in sales to sophisticated buyers, including transactions involving seller rollovers, representation and warranty insurance, restrictive covenants, and earnouts. Counseling founders through the sale of their business (especially for the first time) is a multifaceted process that involves a blend of emotional support, strategic advice, and practical planning. By understanding their mindset and motivations, preparing them for the sale process, and helping them navigate their emotional journey, David provides valuable guidance, leading to a successful transaction that aligns with their goals and aspirations.

Emily advises clients on a wide range of merger and acquisition transactions, joint ventures, strategic alliances, and corporate governance matters, with a particular focus on the beauty, personal care, and wellness sectors. She serves as a trusted advisor to entrepreneurs and creators throughout the business life cycle, from formation to exit, helping clients navigate complex dealmaking in industries where identity, creativity, and brand value are deeply connected.

David and Emily, along with Sidley partner, Mark Metts, spearhead Sidley’s Beauty, Personal Care and Wellness group. The market-leading practice includes a multidisciplinary team of lawyers who guide clients through pivotal transactions, high profile litigation, regulatory compliance and consumer protection matters, brand protection and enforcement, employment issues, product recalls and trade.
