EMILY DEAN focuses her practice on advising investment advisers and financial institutions on the formation, offering, and operation of private investment funds across a broad range of strategies. Her experience includes advising on real estate debt and equity funds, as well as private equity, private credit, and infrastructure strategies. She regularly works with sponsors on fund structuring, investor negotiations, and ongoing governance matters.

Emily also represents institutional investors in negotiating investments in private funds, co-investments, and managed accounts, and has experience advising fund sponsors on a range of secondary transactions, including tail-end liquidity solutions and tender offers.
