
Biography
JOSEPH DEL VICARIO advises public companies and boards of directors on shareholder activism, contested corporate governance matters, and securities law issues. His practice focuses on high-stakes corporate governance situations, including contested director elections, hostile and unsolicited takeovers, withhold campaigns, cooperation agreements, and Section 16 and Schedule 13D matters. Joseph regularly advises on the governance, strategic, and disclosure considerations that arise when companies and shareholders find themselves in contested environments.
Joseph has represented activist investors in many of the market’s most closely watched campaigns and contested situations. Having extensive experience advising both issuers and dissidents, he brings a perspective shaped by firsthand experience with how activist campaigns are built, defended, negotiated, and ultimately resolved.
