Hannah Ellis

HANNAH ELLIS focuses her practice on complex strategic transactions, including public and private mergers, acquisitions, investments, and private equity transactions. Hannah also regularly advises her public company clients on corporate governance, SEC disclosure, and other corporate matters.

While at Sidley, Hannah completed a secondment at GE HealthCare Technologies Inc. (Nasdaq: GEHC), where she advised GEHC in connection with strategic acquisitions, dispositions, and investments.

Hannah earned her J.D., cum laude, from the University of Michigan Law School in 2021. While there, she served as the co-chair of Student Funded Fellowships, a student-run program that raises money for law students going into public interest careers. In law school, Hannah received the “Certificate of Merit for Securities Regulation.” Prior to law school, she earned her B.A. in English and psychology from the University of Michigan with highest honors.

Hannah’s recent representative matters include:

• Allkem Limited (ASX: AKE) in its all-stock merger of equals with Livent Corporation (NYSE: LTHM), a transaction valued at approximately US$10.6 billion.
• Arthur J. Gallagher (NYSE: AJG) in its acquisition of Buck, a leading provider of HR, pensions, and employee benefits services, for US$660 million.
• Fortune Brands Home & Security, Inc. (NYSE: FBIN) in the spinoff of its cabinets business, MasterBrand, Inc. (NYSE: MBC).
• nCino, Inc. (Nasdaq: NCNO) in its acquisition of DocFox, a founder-led software company.
