Biography

GRACE JAMGOCHIAN is a partner in the New York office and a member of the firm’s global M&A and Private Equity group. She represents U.S. and multinational corporations and private equity firms in a variety of transactions across all industries, including technology, media and telecommunications (TMT), life sciences, healthcare, financial services, infrastructure, retail, and consumer products.

Her broad experience includes public company mergers and leveraged buyouts, private acquisitions and sales, strategic and minority investments, and joint ventures for private equity funds, sovereign wealth funds, pension funds, and other sponsors and asset managers, as well as public and private companies.

Prior to joining Sidley, Grace was a partner at another global law firm in their Mergers & Acquisitions practice, and she has also served as an in-house corporate and securities attorney at a multinational technology solutions conglomerate.

Representative Matters

Some transactions include representing the following:

  • WhiteHawk Capital Partners in connection with providing financing to newly formed acquisition vehicles of Brigade Capital Management, LP and Macellum Capital Management, LLC.
  • Brand Velocity Group in its investment in Jaya Apparel Group (Cinq à Sept and LIKELY fashion labels).
  • Stone Point Capital in its investment in IEQ Capital.
  • Wafra Inc. in its investment in Spotless Brands and Global Container International.
  • A public global telecommunications company in various transactions, including several US$20 billion+ acquisitions and divestitures, a multi-billion modified Dutch auction tender offer, and its public split-off of its Latin American business.
  • A global media company in its multi-billion public merger and in various acquisitions, including a TV network, music festival, mobile application, and cartoon franchise.
  • A large Canadian pension fund in several infrastructure and energy transition transactions, including the purchase of a development platform of a leading American solar technology company, a major investment in a leading renewable power producer, and the sale of wind farms.
  • A fund in its US$6 billion+ take-private of a Nasdaq-listed renewable energy company and concurrent acquisition of a related private development company.
  • A NYSE-listed solid waste removal company in its US$4.9 billion acquisition by a leading waste services company.
  • A Nasdaq-listed fast food restaurants chain in its take-private by a consortium of private equity funds.
  • A media company in its sale of a New Orleans newspaper business.
  • Gebr. Knauf KG in its proxy contest with, and US$7 billion takeover of, USG Corporation.
  • A private equity fund in its concurrent acquisition of a controlling stake in a NYSE-listed technology and business services company and sale of a business to such company.
  • A NYSE-listed chemical company in its US$5 billion Reverse Morris Trust transaction.
  • Thomson Reuters in various transactions, including its acquisition of the REDI trading platform and its sale of BARBRI and its healthcare unit.
  • A chemical manufacturing company on its US$3.2 billion sale of its surface treatment business.
  • A media company in various transactions, including its joint venture with a multichannel video programming distributor to bring certain of its TV channels to Latin America, as well as a strategic alliance with a grocery provider.
  • An individual in his acquisition of a Boston newspaper.
  • A global asset management firm in connection with its minority position in a US$20 billion+ take-private of a technology company.
  • A leading European asset manager in its acquisition of a U.S. institutional asset management firm.
  • A construction services company in a variety of acquisitions, including acquisitions of infrastructure and telecommunications assets.
