Sidley advised Pepper Advantage, a leading international credit management and technology firm backed by J.C. Flowers & Co., on its acquisition of Computershare’s UK mortgage servicing business, Computershare Loan Services, subject to regulatory approval.
This strategic acquisition will increase Pepper Advantage’s UK assets under management to approximately £50 billion. By integrating Computershare’s mortgage servicing operations — which include Topaz Finance and Zephyr — Pepper Advantage will significantly expand its UK footprint and strengthen its credit management capabilities across its London and Uxbridge hubs.
The Sidley team was led by partner Adam Runcorn (M&A/Private Equity), and included Andrew Cebula, Jessica Edwards, Ed Roper, and Sean Sawyer (M&A/Private Equity); Patrick Harrison (Antitrust and Competition); Rachpal Thind, and Chloe Francis (Banking and Financial Services); James Crooks, Andrii Fokin, and Eleanor Oates (Global Finance); Peter McCorkell and Alex Down (Labor, Employment and Immigration); Francesca Blythe and Eleanor Dodding (Privacy and Cybersecurity); Sven De Knop, Alessandra Moroni, and Oscar Beghin (Global Arbitration, Trade and Advocacy); Samantha Cumming (Securities Enforcement and Regulatory); Jason Menzies, Ryan Power, Megan Cox, and Patrick Graham (Tax); and Kyle Barnett and Natalie Crawford (Intellectual Property).
