Biography

NATALIE CHAN focuses her practice on a diverse array of sophisticated employment matters and commercial disputes that spans litigation, investigations, counseling, and transactional work. She serves as a trusted advisor to clients across a broad range of industries, including life sciences, healthcare, technology, higher education, professional services, finance, insurance, sports, and retail.

Experience

Representative Matters

  • Roper Technologies in the acquisition by its subsidiary, Aderant, of the legal technology assets from HerculesAI, a pioneer in AI-driven billing compliance and decision intelligence.
  • Starwood Property Trust, Inc. (NYSE: STWD) in its US$2.2 billion acquisition of Fundamental Income Properties, LLC. (pending).
  • Telephone and Data Systems, Inc. (NYSE: TDS) in the US$4.4 billion sale of United States Cellular Corporation’s (NYSE: USM) wireless operations and select spectrum assets to T-Mobile US, Inc. (NASDAQ: TMUS), including a combination of cash and up to approximately US$2 billion of assumed debt.
  • Gamma Biosciences, a life sciences platform established by KKR to address the advanced therapy bioprocessing market, in its US$600 million sale of Mirus Bio to Merck KGaA, Darmstadt, Germany (XTRA:MRK).

Pro Bono

Natalie maintains an extensive pro bono practice in areas including employment and labor, veterans’ benefits and capital litigation. She received the firm’s Thomas H. Morsch Award for Pro Bono Achievement in 2016 in recognition of her work in drafting winning briefs in Oury v. McDonald, Vet. App. No. 13-2955, and related work in the parallel precedential case, Staab v. McDonald, Vet App. No. 14-0957. The decisions in these cases resulted in the invalidation of a federal regulation and a significant victory for veterans who are now entitled to expanded coverage for emergency medical care. As part of the firm’s Capital Litigation Project, Natalie also has represented an Alabama death row inmate in post-conviction relief proceedings. In acknowledgment of her public service contributions, Natalie’s law school alma mater recognized her as its 2018 Dean’s Attorney of the Year for Public Service.
