Federal Reserve Issues Final Rule Interpreting “Control”

On January 30, the Board of Governors of the Federal Reserve System (the Federal Reserve) approved a final rule (the Rule) that simplifies, clarifies and systematizes how the Federal Reserve interprets “control” under the Bank Holding Company Act (the BHCA) and the Home Owners’ Loan Act (the HOLA).1 The Rule, which takes effect on April 1, represents one of the Federal Reserve’s most comprehensive statements of the manner in which it evaluates control, which is a core bank regulatory concept. The Federal Reserve initiated the process resulting in this Rule in April 2019, when it published a notice of proposed rulemaking (the Proposal) seeking public comment.2 While many commenters subsequently encouraged the Federal Reserve to broaden the scope of the Rule, the Proposal and Rule are largely consistent.
