Sidley Serves as Designated Underwriters’ Counsel in US$4.75 Billion Offering of Senior Notes by BHP Billiton Finance

Sidley represented Citigroup Global Markets Inc., Deutsche Bank Securities Inc., Goldman Sachs & Co. LLC, J.P. Morgan Securities LLC, and Scotia Capital (USA) Inc. as joint active bookrunners, and 16 other global financial institutions as joint bookrunners, in connection with the SEC-registered offering by BHP Billiton Finance (USA) Limited of US$850 million 5.250% Senior Notes due 2026, US$700 million 5.100% Senior Notes due 2028, US$900 million 5.250% Senior Notes due 2030, US$1.5 billion 5.250% Senior Notes due 2033, and US$800 million 5.500% Senior Notes due 2053, each guaranteed by BHP Group Limited. The deal closed on September 8, 2023. BHP Group is the largest company listed on the Australian Securities Exchange (ASX) by market capitalization and one of the world’s top producers of commodities, including iron ore, copper, nickel, and metallurgical (steelmaking) coal.
