
Biography
JENNIFER CHAE represents insurance, financial, and private equity clients in a variety of corporate and securities matters, including capital investments, private and public securities offerings, insurance regulatory matters, and insurance financings. She focuses on developing practical solutions to help clients achieve their strategic goals.
Jennifer was named to the Lawyers of Color 2023 “Hot List,” which recognizes junior- and mid-level lawyers for their career accomplishments and their commitment to advancing inclusion.
Jennifer graduated from the University of Michigan Law School, where she received the “Carl Gussin Memorial Prize.” She received her B.A. in English language and literature, with honors, from the University of Chicago.

Representative Matters
Recent transactions on which Jennifer has advised include representation of:
- RGA in the acquisition of a US$4.1 billion block of long-term care and structured settlement business from John Hancock.
- Kuvare Holdings in the sale for up to US$1 billion of Kuvare Asset Management to Blue Owl Capital (including potential earnout), and US$250 million preferred equity investment by Blue Owl in Kuvare.
- The Cigna Group on insurance regulatory matters in the sale of its Medicare businesses and CareAllies to HCSC for a total transaction value of approximately US$3.7 billion.
- Fleming Insurance Holdings, a portfolio company of Altamont Capital Partners, in its US$277 million acquisition of JRG Re from James River.
- Altamont Capital Partners and Hadron in the launch of Hadron, a groundbreaking hybrid insurer focused on managing general underwriters backed by over US$250 million from Altamont and other institutional investors.
- Kuvare Holdings in the launch of Kindley Re, a US$400 million life and annuity reinsurance sidecar formed in partnership with Davidson Kempner Capital Management, and Kuvare and its affiliates.
- Kuvare Holdings’ subsidiary Guaranty Income Life Insurance Company in its acquisition of Lincoln Benefit Life Company, making Kuvare an insurance conglomerate with assets exceeding US$13 billion.
- The Farmers Exchanges in the acquisition jointly with Farmers Group, Inc. of MetLife’s property and casualty business, MetLife Auto & Home, for US$3.94 billion.
- Venerable in its acquisition of Corporate Solutions Life Re from Equitable Holdings, and the reinsurance of approximately US$26 billion of reserves from Equitable Financial Life Insurance Company.
- Western & Southern Financial Group in multiple offerings of surplus notes totaling US$1 billion.
- Athene Life Re in the reinsurance from Jackson National Life Insurance Company of a US$27 billion in-force block of fixed annuities and fixed indexed annuities.
