Biography

SABRINA GLAVOTA focuses her practice on complex corporate matters, with an emphasis on mergers, acquisitions, and private equity transactions in addition to strategic partnerships centered around licensing and collaboration. She represents companies in the life sciences and agribusiness and food industries. 

During her time in law school, Sabrina served as associate editor of Vol. 27 and an articles editor of Vol. 28 of the Michigan Technology Law Review. She was a student attorney with both the Pediatric Advocacy Clinic, providing direct legal aid to low-income families, and the Zell Entrepreneurship Clinic, providing corporate counseling to local startups regarding intellectual property matters and corporate governance. Sabrina also held the position of the mentorship chair of the Women Law Students Association as well as vice president of the Intellectual Property Students Association.

Prior to law school, Sabrina received her undergraduate degree in biochemistry and worked in an academic microbiology research lab investigating E. coli cell division proteins as potential targets in future development of antibiotics.

Representative Matters

Sabrina has assisted with the representation of:

  • Infinimmune in its US$838 million collaboration agreement with Merck & Co., granting Merck exclusive rights to develop and commercialize antibody candidates from Infinimmune’s proprietary AI-driven discovery platform.
  • Telix Pharmaceuticals on its strategic collaboration with Regeneron to co-develop and co-commercialize next-generation radiopharmaceutical therapies under a 50/50 cost- and profit-sharing model, with potential payments to Telix of up to US$2.1 billion.
  • Astria Therapeutics, Inc. (Nasdaq: ATXS) in its approximately US$920 million acquisition by BioCryst Pharmaceuticals, Inc. (Nasdaq: BCRX).
  • GE Healthcare in its exclusive licensing agreement with Lantheus to develop, manufacture, and commercialize piflufolastat F18 (PYLARIFY®) in Japan for prostate cancer diagnostics.
  • Contego Medical, a medical device company, in connection with a series of related agreements with Medtronic, a strategic investment, exclusive distribution agreement and an acquisition option agreement.
  • Nektar Therapeutics in its US$90 million sale of its manufacturing facility and reagent supply business to Ampersand Capital Partners.
  • Tata Consumer Products (NYSE: TATACONSUM) in its acquisition of food and beverage company Organic India.
  • TowerBrook Capital Partners L.P. in its majority equity investment in Demakes Enterprises, LLC.
  • Chong Kun Dang Corp. (CKD) in a potentially US$1.3 billion out-licensing of its proprietary therapeutic to Novartis AG, granting Novartis the rights to develop and commercialize CKD-510, an HDAC6 inhibitor.
  • EpimAb Biotherapeutics, Inc., a clinical-stage biopharmaceutical company specializing in the discovery and development of multi-specific antibodies for diseases with high unmet need, in the creation of Vignette Bio, a joint venture with Foresite Capital to fund the development of EpimAb’s proprietary T-Cell engager. EpimAb received cash and equity and is exclusively licensing its therapeutic for development and commercialization outside China. This was among the largest Newco deals coming out of China in 2024.
  • Prothena Biosciences Limited, a late-stage clinical biotechnology company with a robust pipeline of investigational therapeutics built on protein dysregulation expertise, in an exclusive global out license agreement license to Bristol-Myers Squibb for PRX019, a potential treatment of neurodegenerative diseases with an undisclosed target.
  • Crown Bioscience in its acquisition of the IndivuServ business unit of Indivumed GmbH.
