Thomas Guzman

THOMAS GUZMAN focuses his practice on complex business transactions, including M&A and private equity investments, as well as general corporate governance and securities compliance matters.

He regularly represents public and private companies, including private equity funds, in connection with their transactional needs and other corporate matters. Thomas also has experience representing clients in a number of industries, including technology/software, financial services, medical services, and REITs.

Thomas has been recognized by Super Lawyers as a “Rising Star” in Illinois for Business and Corporate Law (2023–2025).

Thomas is an Army Reserves veteran and served one tour of duty in Iraq. He is a member of the Board of Trustees of the Hispanic Lawyers Scholarship Fund of Illinois. Thomas graduated cum laude from Northwestern Pritzker School of Law. He also completed a Graduate Public Interest Law Initiative (PILI) Fellowship at LAF (formerly the Legal Assistance Foundation of Metropolitan Chicago). Thomas graduated from the University of Illinois at Chicago with a B.A. in political science.

• Clearlake Capital Group, L.P. and Constant Contact in a new strategic investment to accelerate Constant Contact’s growth through a new continuation vehicle.
• Roper Technologies in the acquisition by its subsidiary, Aderant, of the legal technology assets from HerculesAI, a pioneer in AI-driven billing compliance and decision intelligence.
• Starwood Property Trust, Inc. (NYSE: STWD) in its US$2.2 billion acquisition of Fundamental Income Properties, LLC.
• Northlane Capital Partners in multiple acquisitions and divestitures, including its acquisition of Infobase, its acquisition of United States Drug Testing Laboratories, its sale of Discovery Data Holdings, Inc. and its sale of PAR Excellence Systems.
• Chelsea FC Women and its affiliates in an investment by Seven Seven Six, the investment group founded by Alexis Ohanian.
• H.I.G. in multiple divestitures, including its sale of Eruptr LLC and its sale of Boostability.
• Stone Point Capital LLC in its investment in IEQ Capital, LLC.
• Newfold Digital Inc., a Clearlake Capital backed web presence solutions provider in multiple transactions, including its acquisition of MarkMonitor from Clarivate Plc.
• Constant Contact Inc, a Clearlake Capital-backed online marketing solutions provider in multiple transactions.
• Thoma Bravo in multiple acquisitions, including IDS Group, Inc. and Applitools Ltd.
• Madison Dearborn Partners in its acquisition of AEVEX Aerospace.
• AE Industrial Partners in its acquisition of Gryphon Technologies LC.
• HARMAN International, a wholly-owned subsidiary of Samsung Electronics Co., Ltd., on its US$350 million carve-out acquisition of Masimo Corporation’s Sound United consumer audio business. The acquisition will expand HARMAN’s audio offering, especially across core segments such as home audio, headphones, hi-fi components, and car audio. The acquisition is expected to close by the end of 2025.
• Shoreview Industries in its sale of World Wide Packaging, LLC to Bain Capital Private Equity.
• The Chicago Stock Exchange in connection with its sale to Intercontinental Exchange, Inc., the parent company of the New York Stock Exchange (NYSE).
• Welltower Inc. (NYSE: “WELL”) in connection with multiple acquisitions and cross-border joint venture arrangements.
• Hood Companies, Inc. in its acquisition of Custom Packaging, LP.
