Biography

NICOLE JANSSEN is a partner in the Private Equity/M&A group in the Sidley office in Munich. She focuses on all aspects of German corporate and business law with a particular emphasis on cross-border and national mergers and acquisitions, private equity transactions, corporate restructurings and general corporate matters.

Her clients include financial sponsors and strategic investors across a variety of industries, including technology, software, healthcare and life sciences.

As in previous editions (2020 — 2024), Nicole is currently ranked “Best Lawyer” for Mergers and Acquisitions Law and Private Equity Law by Handelsblatt Best Lawyers 2025. In the 2024/2025 edition of the JUVE Handbook, Nicole is recognized as “Often Recommended” for Private Equity. Sources from the 2023/2024 edition describe her as “pragmatic and a pleasure to work with.”

Prior to joining Sidley in 2017, Nicole was a partner in the corporate practice of another international law firm.

She is fluent in German and English.

  • Proalpha Group on the acquisition of Metaal Kennis Groep BV (MKG), a cloud-based ERP player for metalworking companies.
  • Proalpha Group on the acquisition of Quiply Technologies GmbH, a modern employee communication provider.
  • Proalpha Group on the acquisition of DIG GmbH, an expert for cloud solutions in the field of operational purchasing and EDI (Electronic Data Interchange).
  • Proalpha Group on the acquisition of Gedys IntraWare GmbH, a customer relationship management (CRM) software provider.
  • Proalpha Group on the acquisition of Persis GmbH, a human capital management (HCM) software provider.
  • Proalpha Group on the acquisition of Empolis Group, a provider of cloud-based and AI-assisted software products for intelligent decision support.
  • Proalpha Group on the acquisition of ENIT, a leading provider for energy management and carbon tracking.
  • Rivean Capital on the sale of Pro Gamers Group to HAL Investments and Management.
  • Proalpha Group on the acquisition of CP Corporate Planning AG, a provider of software for operative controlling, integrated financial and performance planning, and consolidation.
  • Rodenstock Group, a Compass Partners portfolio company, on their acquisition by Apax Funds.
  • Proalpha Group on the acquisition of a majority shareholding in Böhme & Weihs GmbH Industrieholding, on the participation in SKILL Software and on the acquisition of curecomp Software Services GmbH.
  • ARDIAN France S.A. on the acquisition of a majority stake in the GBA Group and several add-on transactions.
  • Rivean Capital on the acquisition of TonerPartner Group.
  • Rodenstock Group, a German manufacturer of high-quality progressive lenses, on their refinancing.
  • Proalpha Group on the acquisition of C4BI – Competence for Business Intelligence GmbH.
  • Proalpha Group on the acquisition of tisoware Group.
  • Losberger De Boer Group on its financial and operative restructuring. 
  • OpCapita on its sale of NKD Group to TDR Capital. 
  • Rivean Capital on its acquisition of Gundlach Automotive Corporation.
  • Rivean Capital on the acquisition of Caseking Group as well as subsequent add-on acquisitions.
  • Intermediate Capital Group on the acquisition of Proalpha Group.
  • Funds advised by Rivean Capital on the acquisition of Losberger Group and the subsequent add-on acquisition of De Boer Group.
