Biography

EVAN KOWALSKI focuses his practice on advising public and private companies on a wide range of M&A transactional matters. He counsels clients across industry sectors, including automotive, entertainment, labor management, financial services, and consumer products. He also advises clients in connection with general corporate governance and activism defense matters.

Prior to joining Sidley, Evan worked at another global law firm in their corporate law group. He was also a judicial intern for The Honorable Marilyn J. Horan of the U.S. District Court for the Western District of Pennsylvania.

While attending Vanderbilt Law School, Evan was the managing editor of the Vanderbilt Law Review.

Prior to attending law school, Evan served as an officer in the U.S. Army for six years.

Representative Matters

  • FirstEnergy (NYSE: FE) in the sale of its minority interest in Signal Peak Energy, the operator of the largest underground coal mine in the United States.
  • Lineage, Inc. (NASDAQ: LINE), the world’s largest global temperature-controlled warehouse REIT, in the US$247.0 million acquisition of multiple, existing cold storage warehouses and related assets from Tyson Foods, Inc.
  • Corpay in the acquisition of GPS Capital Markets.
  • Program Productions in connection with its partnership with Rhino Staging.
  • Matthews International Corporation (NASDAQ: MATW) in its successful proxy contest against activist hedge fund Barington Capital Group.
  • BioMarin in its entry into a cooperation agreement and information sharing agreement with Elliott Management.

Some of the above matters were handled prior to joining Sidley.
