MATTHEW KUTNER is a senior managing associate in the Investment Funds group in the firm’s New York office. He focuses his practice on advising registered funds and investment advisers in connection with ongoing regulatory compliance with securities laws. Matt advises investment companies, including open-end funds, closed-end funds, exchange-traded funds and funds offered through variable insurance products, investment advisers and boards of directors on a variety of legal, business, risk, compliance and transactional matters arising under the Investment Company Act of 1940, the Investment Advisers Act of 1940 and the Commodity Exchange Act. Matt also counsels independent board members on their responsibilities, including under Section 15(c) of the Investment Company Act. In addition, he counsels clients on the offering and formation of private investment funds, and advises investors in connection with their investments in private funds.
Prior to joining Sidley, Matt practiced at other global law firms, during which time he was recognized by Fund Action and Fund Directions as a 2017 Rising Star of Mutual Funds.
Matt earned his LL.M. from Columbia Law School, where he was a Harlan Fiske Stone Scholar. He earned his J.D. from Hofstra Law School, cum laude, where he was a Research Editor on the Hofstra Law Review, and his B.B.A. from George Washington University, cum laude, where he studied international business.
