Biography

MATTHEW BRANDT focuses his practice on providing pragmatic, business-orientated guidance on complex technology transactions encompassing the acquisition, developing and licensing of software, cloud products and services, AI/ML products, engineering hardware, and other emerging technology. With nearly a decade of in-house experience, he understands how to prioritize material risks over theoretical ones, offer actionable solutions, and balance legal compliance with business objectives and commercial realities.

Prior to joining Sidley, Matthew was a corporate counsel for Amazon, where he provided strategic advice on complex technology transactions and issues impacting various Amazon business units. In this role, he negotiated complex technology agreements on behalf of Amazon Web Services (AWS) involving the outsourcing and licensing of AWS products and services, including AI/ML technology, cloud-computing services, and web-based products. Matthew also provided deal support and product counseling advice on hardware development, manufacturing and procurement agreements. In addition, he partnered with AWS executives to develop and implement strategies to resolve complex problems impacting multiple of their business units. Finally, Matthew negotiated acquisition and development agreements, including purchase and sale agreements, leases, construction and design contracts, and licensing arrangements for Amazon’s logistic business units.

Before his time at Amazon, Matthew managed a team of lawyers at WeWork, supporting the company’s global real estate expansion and commercial growth initiatives.
