Biography

BRAD GIACONE focuses his practice on debt financing transactions, with an emphasis on the energy and infrastructure sectors. He represents borrowers, private equity sponsors and their portfolio companies, financial institutions, and private credit lenders across a broad range of syndicated and bilateral financings, including asset-based and reserve-based credit facilities, term loan and delayed-draw facilities, direct lending transactions, acquisition financings, and other secured financings.

Brad has significant experience across the upstream and midstream oil and gas, energy services and compression, power and renewable energy, data center, and broader infrastructure and asset-intensive sectors. His experience spans first- and second-lien financings, intercreditor arrangements, working capital and equipment facilities, and financings secured by project assets, real property, and other asset-based collateral.

Brad also advises clients on refinancings, amendments and waivers, acquisition financings, and cross-border transactions involving infrastructure and other tangible assets. He represents borrowers and lenders in private credit and stressed and distressed financing matters, including workouts and out-of-court restructurings, covenant relief, debt-for-equity transactions, and exit financings.

  • Howard Midstream Energy Partners, LLC in connection with its senior secured revolving credit facility, including an extension of the facility's maturity and increase in the aggregate commitments thereunder.
  • Stonepeak Infrastructure Partners, a leading alternative investment firm specializing in infrastructure and real assets, in the CA$1.215 billion sale of its 50% interest in the Key Access Pipeline System (KAPS) project to Keyera Corp.
  • Stonepeak in its equity commitment with Longview Infrastructure, a newly formed electric transmission development and investment platform.
  • Fortress Credit Corp, as administrative agent and lead lender, in connection with Phoenix Capital Group’s US$135 million delayed draw term loan facility and subsequent upsize to US$250 million.
  • Archrock in its US$1.5 billion asset-based revolving credit facility.
  • USA Compression LP, in its US$1.75 billion asset-based revolving credit facility.
  • USA Compression Partners, LP, in its US$860 million acquisition of J-W Power Company, a large privately held provider of compression services.
  • Post Oak Energy Capital, LP on the sale of Switchgrass E&P Holdco, its portfolio company with upstream assets operated primarily in Oklahoma’s South Central Oklahoma Oil Province (SCOOP).
  • Post Oak Energy Capital, LP in connection with the sale of the Haynesville assets of Nadel and Gussman NV, LLC and Quantent Energy Partners, LLC.
  • New Height Energy in its US$300 million senior secured reserve-based revolving credit facility for its acquisition of producing oil and gas assets in the Midland Basin.
  • VoltaGrid in its US$2 billion of senior secured second lien notes and US$3 billion asset-based loan facility.
  • U.S. Energy Development Corporation (USEDC) in its syndicated revolving credit facility led by Citibank, N.A., including the recent increase in the facility in connection with USEDC’s acquisition of approximately 20,000 net acres in Reeves and Ward counties, Texas, the largest acquisition in USEDC’s history.
  • GIC, OMERS Infrastructure, and Wren House, in their purchase of Direct ChassisLink, Inc. from funds managed by affiliates of Apollo Global Management and EQT (winner of Infrastructure Investor’s 2023 “Transport Deal of the Year” award).
