
Biography
NATHAN GREENE is a leading regulatory lawyer and has extensive experience advising on all aspects of fund and investment advisory operations. His practice includes representation of U.S. and foreign investment companies, advisers and trustees; SEC registration, exemptions, inspections and investigations for funds and advisers; board and governance matters; and high-profile corporate transactions involving asset management businesses. With a strong interest in innovation, he also counsels funds and financial institutions on regulatory considerations around emerging technologies like blockchain, big data, and artificial intelligence.
Nathan is in demand as a speaker on many topics. He has lectured on funds regulation at prominent New York-area law schools. He is regularly quoted in prominent publications and news services, including BoardIQ, Bloomberg, Fund Board Views, Hedge Fund Law Report, Reuters, and The Wall Street Journal.
Nathan has been recognized by Chambers Global (2021–2025) and Chambers USA in Registered Funds (2017–2025). Representative Matters
Nathan’s experience includes representing:
- Colliers (NASDAQ and TSX: CIGI) in its investment in Versus Capital, a U.S. alternative real asset management firm.
- The independent trustees of the registered funds business of one of the world’s leading alternative investment firms, including in relation to the launch, structuring, and ongoing oversight of its flagship multi-manager mutual fund.
- The independent trustees of a fast-growing mutual fund and ETF complex, including in the course of multiple fund adoptions and launches that have more than doubled the number of funds overseen by the board.
- Fund and adviser counsel in respect of one of the country’s largest fund complexes, including in two of the largest single-day ETF launches in history.
- SEC-registered funds of hedge funds, including negotiating distribution agreements with major underwriting firms and advisory platforms and advising on significant ongoing share registrations.
- Citigroup, Inc. in the sale of the asset management business of its Mexican banking subsidiary, Citibanamex, to BlackRock Inc.
- General Electric Co. in connection with its sale of GE Asset Management to State Street Global Advisors.
- Mizuho Financial Group in its purchase of a 16% interest in Matthews International Capital Management.
- Major investment banks and both non-U.S. and U.S. issuers in analyzing and structuring their ability to obtain exceptions and exemptions under the U.S. Investment Company Act of 1940 for purposes of facilitating securities issuances within the U.S.
