Biography

TERENCE HEALEY represents clients on a variety of regulatory, enforcement, compliance and transactional matters involving the U.S. wholesale electricity and natural gas markets. Terence has extensive experience representing clients in regulatory and investigations proceedings before the Federal Energy Regulatory Commission (FERC), the North American Electric Reliability Corporation (NERC) and multiple state energy regulatory agencies. Terence regularly advises energy traders and marketers on physical and financial wholesale power transactions, mergers and asset acquisition approvals, regional energy market rules and tariff requirements, power purchase and sale agreements, and issues related to the design and operation of wholesale energy and capacity markets, in each of the organized power markets, including in Texas. Terence also advises energy companies, marketers, financial institutions, private equity funds and institutional investors and advisers on regulatory requirements under the Federal Power Act, the Natural Gas Act, the Public Utility Holding Company Act, the Public Utility Regulatory Act of Texas and the creation and implementation of robust compliance programs.

Terence has been recognized by Chambers Global in USA Energy: Electricity (Regulatory & Litigation) (2021–2025) and by Chambers USA in Energy: Electricity (Regulatory & Litigation) (USA—Nationwide, 2019–2025).

Prior to joining Sidley, Terence practiced at an international law firm focusing on regulatory and commercial issues in the areas of public utility and energy law.

Experience

Representative Matters

Terence’s recent experience prior to joining Sidley includes:

  • Advised a client in securing regulatory approvals and related licensing requirements associated with the acquisition of a portfolio of wind-powered electric generation facilities and related interconnection facilities before FERC and the Public Utility Commission of Texas.
  • Secured necessary approvals and provided associated energy regulatory advice related to a client’s acquisition of multiple coal-fired electric generation facilities. 
  • Provided regulatory advice regarding a client’s sale of its U.S. portfolio of physical and financial commodity transactions.
  • Advised a client on regulatory issues associated with its acquisition of a physical energy and commodities business.
  • Provided regulatory advice to a major financial institution related to tax-equity investments in renewable generation facilities in the Southwest and Texas.
  • Successfully defended multiple energy companies involved in non-public FERC and PUCT enforcement investigations related to their participation in the wholesale electricity markets.
