Edward F. Petrosky

ED PETROSKY is a member of the firm’s Executive Committee and was the chair of the Global Capital Markets group from 2019 to 2022 and a global practice leader of the group from 2007 to 2019. Ed represents both issuers and underwriters in a wide variety of securities offerings and has extensive experience providing legal advice to clients under the Securities Act of 1933 and the Securities Exchange Act of 1934.

Ed currently serves as company counsel and designated underwriters’ counsel for more than 20 companies, with a particular emphasis on REITs, financial institutions, and consumer companies. Ed’s practice focuses on IPOs, follow-on common stock offerings, preferred stock offerings, ATM programs, offerings of convertible and exchangeable securities, and offerings of senior and subordinated debt securities, including retail and institutional MTN programs and CP programs. He has been involved in more than 465 offerings with an aggregate value in excess of US$255 billion since 2010.

Chambers Global has recognized Ed since 2009, most recently for Capital Markets: Debt & Equity: Eastern United States (2021–2025). Ed also has been ranked by Chambers USA since 2007, most recently for REITs – Nationwide (2013–2024) and Capital Markets: Debt & Equity: Eastern United States – Nationwide (2019–2024). • Represented the underwriters in an aggregate of US$5.0 billion inaugural public offering of senior notes issued by VICI Properties L.P., used to fund a portion of the purchase price of VICI’s recent acquisition of MGM Growth Properties and to provide long-term financing for VICI’s acquisition of The Venetian Resort Las Vegas and The Venetian Expo.
• Represented Morgan Stanley, J.P. Morgan, and other underwriters in the initial public offering of Claros Mortgage Trust, Inc., a commercial mortgage REIT focused on transitional commercial real estate assets located in major U.S. markets.
• Responsible for Sidley’s work on 16 IPOs since 2012, two IPOs in 2018, and two IPOs in 2017.
• Led the Sidley team in 2012 representing the investment banks in SEC-registered and private sales of TARP preferred stock of more than 30 financial institutions by the U.S. Treasury.
• Represented the underwriters in the Fortress IPO, the first alternative asset manager IPO in the United States.
• Held a prominent role in the successful re-equitization of the REIT industry beginning in 2009, leading the Sidley team on common stock offerings totaling more than US$14 billion.
