Biography

ANNA REMIS represents companies at all stages of development both in their day-to-day operations and in their complex business transactions, bringing a well-rounded and strategic — yet practical — approach to her clients’ matters. She has extensive experience working with clients in the emerging companies and venture capital ecosystem. Anna also counsels more established companies on intellectual property development and strategic collaborations with, investments in, and acquisitions of emerging technology companies.

Clients turn to Anna for her guidance on a wide range of intellectual property issues, with a particular focus on data-driven technology, artificial intelligence (AI), and machine learning. Anna counsels business clients in the technology, fintech, climate tech, and digital health industries, as well as on innovation in the manufacturing, automotive and airline industries.

Anna handles IP-related aspects of complex U.S. and cross-border business transactions, such as mergers and acquisitions, joint ventures, spin-offs, corporate venture investments, and strategic collaborations.

Anna serves on the steering committee of Sidley’s AI Working Group and is a frequent speaker at conferences on a variety of topics, including technology, IP, and artificial intelligence and machine learning.

Representative matters handled by Anna include the following:

Technology:

  • Represented Geotab in its joint venture with Vitality to combine telematics and behavioral science for commercial fleet management.
  • Represent data analytics software companies in intellectual property development, website terms and conditions and platform services agreements.
  • Represent hardware and software developers in intellectual property licensing and commercialization strategy.
  • Advise Immutable X, a pioneer in the development and publishing of NFT games on the Ethereum NFT ecosystem, in connection with the primary sales, marketplace agreements and commercial arrangements with various partners.
  • Advise NuMat Technologies, a material science and computational chemistry start-up company, on corporate and intellectual property matters.
  • Represented digital media company ATTN: in its acquisition by Candle Media.
  • Advise clients on university licenses and sponsored research agreements.

Fintech:

  • Advise clients on development, licensing and sale of software platform technology to power financial services offerings including blockchain and cryptocurrency businesses.
  • Assist on intellectual property aspects of in the formation of joint programs between technology companies and banks and other regulated financial services providers.
  • Advise private equity funds on technology development, intellectual property licensing and software engineer recruiting matters.
  • Represented Apex Fintech Solutions in its sale of Apex Crypto to Bakkt Holdings.
  • Represented Charles Schwab & Co., Inc. in its sale of Schwab Compliance Technologies to MyComplianceOffice.
  • Represented Cboe Global Markets, Inc. in its acquisition of Eris Digital Holdings, LLC (ErisX), operator of a U.S.-based digital asset spot market, a regulated futures exchange, and a regulated clearing house.
  • Represented Arthur J. Gallagher & Co., a global insurance brokerage, risk management, and consulting services firm, in its acquisition of the treaty reinsurance brokerage operations of Willis Towers Watson plc. 

Digital Health:

  • Assist with intellectual property aspects of digital health venture capital investments including in companies developing AI-powered tissue diagnostics, virtual reality technology for medicine, and video conferencing for the operating room.
  • Represented healthcare services company in connection with a founding partnership and services agreement for remote patient monitoring services from a new health tech company.
  • Represented Walgreen Boots Alliance, Inc. in its acquisition of approximately 75% of Innovation Associates Holdings, Inc.

Manufacturing, Automotive and Airlines:

  • Represent clients in strategic transactions related to battery technology for vehicle and energy storage solutions, including intellectual property aspects of technology development agreements, corporate acquisitions, and joint ventures.
  • Representing Accelera by Cummins in its strategic joint venture with Daimler Truck, PACCAR, and Eve Energy Co., Ltd. to manufacture battery cells for electric commercial vehicles in North America.
  • Assist with software as a service and technology development involving digital mapping, analytics, and autonomous logistics platform technologies for automotive, aviation and fleet management businesses.
  • Advise manufacturing and financial services companies on supply chain finance and factoring technology transactions.
