Julie Rodriguez

JULIE RODRIGUEZ focuses on transactional and regulatory work for insurers, reinsurers, investors, and other participants in the global insurance industry.

Prior to joining Sidley, Julie worked in the corporate and regulatory departments of a leading property and casualty insurer with both company market and Lloyd’s platforms. Hence, she brings a deep commercial perspective to her current work. She has also worked at a boutique consultancy advising UK-authorised firms, including investment managers, brokers, traders, corporate financiers, venture capitalists, fund marketers, and investment advisors.

Representative examples of Julie’s experience include advising:

• Arthur J. Gallagher & Co. in the pending acquisition of AssuredPartners from GTCR for gross consideration of US$13.45 billion.
• Ryan Specialty in its acquisition of Innovisk.
• Great Hill Partners on financial services regulatory aspects of its pending strategic majority investment in a newly formed organisation comprising Vivup, a leading provider of health and well-being benefits, and Perkbox, an award-winning global benefits and reward platform.
• Stonepeak on its agreement with the AA, the leading provider of roadside assistance services in the UK and a successful insurance business, and the AA’s majority shareholders, TowerBrook Capital Partners and Warburg Pincus. Per the agreement, Stonepeak will invest £450 million in the AA through a combination of common and preferred equity at an enterprise value of approximately £4 billion.
• RenaissanceRe in its US$2.985 billion acquisition of Validus Re from AIG.
• Westfield in its acquisition of the Lloyd’s operations of Argo Group, including Argo’s Lloyd’s managing agency and Argo’s members supporting Syndicate 1200.
• Arthur J. Gallagher & Co. in its acquisition of the treaty reinsurance brokerage operations of Willis Towers Watson for US$3.25 billion.
• International P&C insurer on its Part VII transfer, and the authorisation of its third-country branch.
• International P&C insurer on its intragroup reorganisations, licensing and implementation of the Senior Managers and Certification Regime.
• Wholesale and retail investment firms seeking authorisation.
