Julie Rodriguez

Julie advises insurers, reinsurers, investors, and other participants in the global insurance market on transactional and regulatory matters. She regularly supports clients across Europe, North America, offshore jurisdictions, and Asia, including in connection with accessing and operating within the London and international insurance markets and navigating complex cross-border regulatory and commercial issues.

Julie advises on the:

• formation, acquisition, structuring, governance, regulatory compliance, and disposal of insurance carriers and intermediaries;
• branch and subsidiary establishment and insurance regulatory authorisations;
• formation and operation of MGAs and coverholders;
• corporate and regulatory transactions involving the Lloyd’s market;
• risk transfer and structured insurance transactions; and
• regulatory and compliance matters involving Lloyd’s, the PRA, the FCA, and other regulators.

Prior to joining Sidley, Julie worked in the corporate and regulatory departments of a leading property and casualty insurer with both company market and Lloyd’s platforms. Hence, she brings a deep commercial perspective to her current work.

• Athora Holding Ltd. in its approximately £5.7 billion acquisition of Pension Insurance Corporation Group Limited.
• Accelerant Holdings (NYSE: ARX) in its take-private transaction (valued at US$4 billion) by Thoma Bravo and Altamont Capital Partners.
• Siris Capital in its US$4.2 billion sale of Equiniti.
• J.C. Flowers & Co. in its acquisition of Pepper Advantage.
• Arthur J. Gallagher & Co. in the acquisition of AssuredPartners from GTCR for gross consideration of US$13.45 billion.
• Ryan Specialty in its acquisition of Innovisk.
• Great Hill Partners on financial services regulatory aspects of its pending strategic majority investment in a newly formed organisation comprising Vivup, a leading provider of health and well-being benefits, and Perkbox, an award-winning global benefits and reward platform.
• Stonepeak on its agreement with the AA, the leading provider of roadside assistance services in the UK and a successful insurance business, and the AA’s majority shareholders, TowerBrook Capital Partners and Warburg Pincus. Per the agreement, Stonepeak will invest £450 million in the AA through a combination of common and preferred equity at an enterprise value of approximately £4 billion.
• RenaissanceRe in its US$2.985 billion acquisition of Validus Re from AIG.
• Westfield in its acquisition of the Lloyd’s operations of Argo Group, including Argo’s Lloyd’s managing agency and Argo’s members supporting Syndicate 1200.
• Arthur J. Gallagher & Co. in its acquisition of the treaty reinsurance brokerage operations of Willis Towers Watson for US$3.25 billion.
• International P&C insurer on its Part VII transfer, and the authorisation of its third-country branch.
• International P&C insurer on its intragroup reorganisations, licensing and implementation of the Senior Managers and Certification Regime.
• Wholesale and retail investment firms seeking authorisation.
