Biography

HOLLY TODD advises on a variety of cross-border debt and leveraged finance transactions, refinancings, and other general banking matters for clients, including private equity sponsors, corporates, investment banks, and private credit funds.

Holly joined Sidley from another international law firm in London, having gained experience in corporate and investment grade lending, special situations, real estate finance, and project finance. This included a six-month stint in Singapore, where Holly worked on a wide range of debt financings and projects.

Representative Matters

Holly’s representative matters include:

  • Advised Partners Group a leading global private markets firm, on the financing arrangements for its acquisition of premium pet food company MPM Products, a global pet food business focused on premium cat food.
  • Acted sponsor-side on a US$250 million recapitalization.
  • Acted borrower-side on the refinancing of two UK hotels.
  • Acted lender-side on an upsize of two facilities.
  • Acted sponsor-side on the acquisition financing of the Six Senses hotel in Rome and the refinancing of the Four Seasons hotel in Milan via a double-listed bond issuance.
  • Acted for an alternative lender on the PE-sponsored acquisition of a U.S. target.
  • Acted for an alternative lender on a waiver and amendment process in relation to the borrower’s disposal of key Finnish subsidiaries.
  • Advised an agent on enforcement under a facility agreement and cost overrun guarantee.
  • Acted for an alternative lender on the acquisition of three UK real estate assets.
  • Acted for an Israeli bank in connection with the acquisition of a UK real estate asset.
  • Acted for a Spanish borrower in connection with the acquisition of two Spanish real estate assets.
  • Acted for a bank as global co-ordinator, structuring bank, and agent in connection with the amendment of four facilities relating to a billion-dollar state railway project in Tanzania.
  • Acted for an alternative lender in connection with a bridge loan and put option as part of a refinancing.
  • Acted for a bank as guarantor of new debt in connection with a restricting aimed at preventing the collapse of an offshore wind farm project in Taiwan.
  • Acted for an English e-commerce company in its pre-pack asset sale to one of its secured creditors.

Community Involvement

Pro Bono

  • Reviewed and summarized climate action plans to support small island states’ delegates at COPs.
  • Drafted advice for Sudanese citizens on how they can assert their rights in conflict and post-conflict zones in accordance with international humanitarian law.
  • Advised a large international human rights charity on the applicability of the AI legal and regulatory framework to certain NGO AI use cases.
