JD Heinz

JD HEINZ focuses his practice on insurance and financial services.

JD graduated summa cum laude from DePaul University College of Law in 2018. As a law student, he was the managing editor of lead articles of the DePaul Law Review and elected to the Order of the Coif. JD graduated from Siena College with a B.A. in political science.

Prior to joining Sidley, JD was a Graduate Public Interest Law Initiative (PILI) Fellow at the Loyola Federal Tax Clinic.

JD completed a secondment with Apollo Global Management in 2021.

Recent transactions on which JD has advised include:

• Athora Holding Ltd. in its approximately £5.7 billion (pending) acquisition of Pension Insurance Corporation Group Limited.
• Athene Holding in its purchase of ARS.
• Merger of Athene Holding with Apollo Global Management, in an all-stock transaction creating a pro forma US$29 billion market cap company (with Athene valued at approximately US$11 billion).
• A US$720 million acquisition of an 18% minority interest in Challenger Limited, Australia's largest provider of annuities, by Apollo Global Management and Athene Holding.
• Sale of Talcott Resolution to Sixth Street by an investor consortium led by Cornell Capital LLC, Atlas Merchant Capital LLC, TRB Advisors LP, Global Atlantic Financial Group, Pine Brook, J. Safra Group, Hudson Structured Capital Management, and The Hartford.
• Combination common share exchange with and US$1.55 billion sale of common shares to Apollo Global Management by Athene Holding. The transaction also involved the elimination of Athene’s multi-class share structure.
